Notarsky zapis
Notarsky zapis are the notarial deeds of a company. These are probably one of the single most important parts of a company, since they list the owners of the company and the functions of a company.
The deeds set out the company's name, the address of its registered office and details of its share capital and can contain the rules for a company's internal regulation and management and the basic rules of operation of the business such as how a company is to be run, annual meeting procedures, powers of directors, owners rights how the company will pay profits to investors, and how and when audits on the financial records will be conducted and so on.
Articles of association normally include: the legal name of the company; details of its financing by the owners and their shares; name and address of its directors; purpose of the business;
There can be a great deal of flexibility in the information contained in the articles of association and the way they are written. In order to register a company you must supply formal articles of association and they must address the minimum issues required by law.
Careful preparation of the articles of association makes sense, as the documents can help to ensure the efficient function of the company and they give legally binding rules to the ownership of the company, in case of any legal dispute at a later date.
This is where a lawyer comes in. A lawyer can help you write your articles of association, that is normally part of the fee a lawyer charges when setting up a company here in the Czech Republic (that is, in Czech, a lawyer may well charge extra for a translation of your articles into English).
Once you have your articles you will need to file them with the Czech courts. Your papers should be processed within 10 working days. Note: If there is a mistake in the papers you filed, the courts will deny your application and you will have to resubmit your application and if you have to resubmit your papers you will have to repay the court fees.
